Prof. Koen GEENS
(born 1958) holds graduate degrees in law from the University of Leuven (Licentiate, 1980) and Harvard Law School (LL.M., 1981). He also obtained a Ph.D. in law from the University of Leuven (1986) where he is a professor of company and financial law, and chairman of the Jan Ronse Institute for company law.
He founded Eubelius in 1994, and is heading its corporate department. With 100 lawyers Eubelius is the most important independent Belgian law firm. Koen Geens was elected as Belgian lawyer of the year by Chambers Global in 2002. Eubelius is a recipient of numerous awards, including the 2006 Belgian legal Awards as law firm of the year and best firm to work for (the latter award was repeated in 2007).
Koen was involved in most of the leading Belgian corporate and securities important transactions of the last years. These include the initial public offerings of Belgacom (2004) and Elia (2005), the bank merger of Almanij and KBC (2004-2005), the successful take-over bids by Belgacom for Telindus (2005), by Suez for Electrabel (2005, followed by 2007 squeeze-out), and by Mittal Steel for Arcelor (2006). He also advised UCB in its public bid for Schwarz, a German pharmaceutical company (2006).
Koen Geens served as president of the Belgian Federation of Liberal Professions. He is an honorary president of the Superior Council for the Audit Profession. Koen Geens also is the author of numerous authoritative scientific publications, in particular in the areas of company and financial law and regulated professions. He was appointed by the Belgian government as the scientific coordinator for the codification of the Belgian laws on companies and financial accounts, which culminated in the new Belgian company code.

Dr Carl CLOTTENS
Carl Clottens (b. Genk, 13 June 1981) studied law at the KU Leuven (Licentiate, 2004, magna cum laude) and at New York University School of Law (Socrates, 2003). In 2011 he obtained a PhD in law (KU Leuven) on the basis of a doctoral thesis on 'Proportionality of voting rights and risk in capital companies' under the promotorship of prof. dr. Koen Geens. In 2014, he was awarded the triennial Pierre Coppens prize for his thesis.
Since 2005 he is a member of the Jan Ronse Insitute for company and financial law, initially as teaching assistant. Since October 2012 he is a visiting lecturer at the KU Leuven, Brussels campus.
He is the author of several articles on corporate and financial law. He is also a member of the editorial board of the Tijdschrift voor Rechtspersoon en Vennootschap and a co-editor of the International Encyclopaedia of Laws – Corporations & Partnerships.
Since 2004 he is an attorney at the Brussels bar (Eubelius), where he advises on a broad range of corporate, finance and M&A matters.
